WAO Board vs Carol and Ron Asvestas -- Supplemental Response

Well, here is something interesting that was filed with Bexar County:


In case you are wondering what this means, here is the definition from the Business Organization Code (which was later replaced with the Non-profit Corporation Act):

Sec. 22.221.  GENERAL STANDARDS FOR DIRECTORS.  (a)  A director shall discharge the director's duties, including duties as a committee member, in good faith, with ordinary care, and in a manner the director reasonably believes to be in the best interest of the corporation.

(b)  A director is not liable to the corporation, a member, or another person for an action taken or not taken as a director if the director acted in compliance with this section.  A person seeking to establish liability of a director must prove that the director did not act:

(1)  in good faith;

(2)  with ordinary care;  and

(3)  in a manner the director reasonably believed to be in the best interest of the corporation.

Acts 2003, 78th Leg., ch. 182, Sec. 1, eff. Jan. 1, 2006.

My opinion?  I think the Cryers wanted to take over the WAO from the get-go.  Was Michelle Cryer's vote to terminate the Asvestas made "in good faith" and "with ordinary care?"  Now that is the million dollar question, isn't it?  After all, Cryer ignored all the evidence presented to her back in 2006 during the Emergency Board meeting and all the subsequent documents sent to the OAG and USDA. 

What an interesting turn of events.

You know what is missing?  The counter lawsuit filed by the WAO against the Asvestas.  I guess the statue of limitations have probably run out by now to file the counter suit, so this is now a mute issue.  Sad.

I was surprised at the number of big cats and primates still at the WAO.  I pray that animals like Apollo (tiger), Marilyn and Normad (Patas monkeys) find really good homes soon.

I just found out that Maverick (black spotted leopard) is still alive and living at the WAO.  God Bless him!  He is such a wonderful cat.
